Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Barael LLC, a California limited liability company ("Barael," "we," "us," or "our"), governing your access to and use of Reqall, available at reqall.app and related applications (collectively, the "Service").

By creating an account, accessing the Service, or clicking "I Agree," you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. Users between 13 and 17 may only use the Service with verified parental or legal guardian consent. We do not knowingly collect information from anyone under 13.

3. Account Registration and Security

You must provide a valid email address to register. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at eddie@barael.com if you suspect unauthorized access.

4. Description of the Service

Reqall is an AI-powered project management tool that allows users to record voice memos, submit photos and text, receive AI-generated structured outputs (action items, decisions, summaries), and manage tasks across multiple views. The Service uses OpenAI and Anthropic to process your inputs.

5. Recording Consent — Critical User Obligation

THIS SECTION IS A CONDITION OF SERVICE. FAILURE TO COMPLY MAY RESULT IN ACCOUNT TERMINATION AND EXPOSE YOU TO SIGNIFICANT LEGAL LIABILITY.

5.1 When you use Reqall to record or capture content that includes the voice, image, or personal information of any other person, you are solely responsible for ensuring all necessary legal consents have been obtained before recording.

5.2 Recording laws vary by jurisdiction. Many U.S. states (including California, Florida, Illinois, and others) require the explicit consent of all parties before a conversation may be recorded. You must independently determine which laws apply and comply fully before using the Service to capture that content.

5.3 Prior to recording any conversation involving other people, you agree to: inform all participants that the conversation is being recorded; obtain affirmative consent where required by law; and disclose that the recording will be processed by AI systems.

5.4 Barael has no knowledge of or ability to verify the consent status of any content you upload. You agree to indemnify and hold Barael harmless from any claim arising from your recording of third parties without proper consent. This indemnification obligation is not subject to any liability cap.

6. User Content

You retain all ownership rights in your User Content. By submitting content, you grant Barael a limited license to host, store, transmit, and process it solely to provide the Service. We do not use your User Content to train AI models.

You agree not to submit content that violates any law, infringes third-party intellectual property rights, contains malware, or includes personally identifiable information of third parties without their authorization.

7. AI-Generated Artifacts

Summaries, action items, decisions, and other structured outputs generated by the Service are produced by AI and are inherently probabilistic. They may contain errors or omissions. They do not constitute legal, financial, medical, or professional advice. You are solely responsible for reviewing Artifacts for accuracy.

8. Acceptable Use

You agree not to use the Service to: violate any applicable law; record content without required consent; circumvent technical protection measures; access the Service by automated means without our written consent; reverse engineer the Service; or disrupt our infrastructure.

9. Intellectual Property

The Service, including its design, code, trademarks, and documentation (excluding your User Content), is owned by or licensed to Barael. If you provide feedback or suggestions, you grant Barael a perpetual, royalty-free license to use and incorporate that feedback.

10. Payments and Subscriptions

As of the Effective Date, core features are available without charge. We reserve the right to introduce paid tiers. When paid plans are introduced, fees will be charged via Stripe, subscriptions will auto-renew, and pricing changes require at least 30 days' notice.

11. Privacy

Your use of the Service is subject to our Privacy Policy, incorporated into these Terms by reference.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. BARAEL EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BARAEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. BARAEL'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) FEES PAID BY YOU IN THE PRECEDING 12 MONTHS, OR (B) $100.00.

14. Indemnification

You agree to indemnify and hold harmless Barael and its members, managers, employees, and agents from any claims, liabilities, damages, and costs arising from your violation of these Terms, your User Content, or your recording of third parties without required consent.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California. Unresolved disputes shall be resolved by binding arbitration administered by JAMS in Los Angeles County, California. Each party may only bring individual claims — no class actions.

16. Termination

You may terminate your account at any time in Settings or by emailing eddie@barael.com. We may suspend or terminate your account immediately for violations of these Terms or applicable law.

17. General Provisions

These Terms and the Privacy Policy are the entire agreement between you and Barael regarding the Service. We may modify these Terms at any time; material changes will be communicated at least 14 days before taking effect. Continued use constitutes acceptance.
